Legal
Terms of Service
These Terms of Service govern access to and use of Lifecycle websites, hosted instances on lifecycle.lol, on-premises software, the end-user portal, billing, and related services.
Last updated: September 28, 2026
1. Acceptance
By accessing or using the Services, creating an instance, starting a trial, purchasing a subscription, or clicking to accept these Terms, you agree to be bound by them. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.
Our Privacy Policy and Accessibility Statement are incorporated by reference where they describe related obligations.
2. Definitions
- "Services" means Lifecycle websites (including lifecycle.lol), hosted desks and portals on our domains, licensed on-premises software, APIs, documentation, and support we provide.
- "Customer Content" means data, records, files, and materials you or your users submit to or process through the Services, including employee lifecycle, inventory, and directory-derived information.
- "Cloud" means hosted Services on lifecycle.lol/<desk> or equivalent Lifecycle-operated infrastructure.
- "On-Prem" means Lifecycle software you install and operate on infrastructure you control, under a license key or subscription we issue.
3. Accounts and access
You must provide accurate account information and keep credentials confidential. You are responsible for activity under your accounts and for configuring Microsoft Entra ID, Active Directory / LDAP, and desk roles appropriately. Hosted public lifecycle.lol paths generally require Sign in with Microsoft using an organizational identity. On-Prem deployments may use AD/LDAP or a customer Entra configuration as supported by the product.
You must promptly revoke access for users who leave your organization or no longer need the desk. We may suspend access that presents a security risk, violates these Terms, or fails payment requirements after notice where practicable.
4. License and subscription
Subject to these Terms and timely payment, Lifecycle grants you a limited, non-exclusive, non-transferable (except as allowed in a written assignment), non-sublicensable right to use the Services for your internal business operations during the subscription term.
Cloud. We host the environment on our infrastructure. Availability targets, if any, are as stated in an order or status communications; otherwise the Cloud is provided on a commercially reasonable efforts basis.
On-Prem. You install and operate the software on systems you control. You are responsible for backups, updates you choose to apply, network security, directory integration, and compliance of your deployment. License heartbeats or similar checks may be required to confirm entitlement.
Combo. Where offered, combo plans cover both On-Prem entitlement and Cloud use as described at checkout or in your order.
MSP. The MSP edition is a base subscription plus a charge for each connected Microsoft 365 tenant. Several companies or brands inside one tenant count as one tenant.
Trials (including the one-month free trial that unlocks on-prem and cloud when offered) are for evaluation, may have feature or support limits, and convert to paid access according to the plan you select unless canceled before the trial ends as described at checkout.
Beta. The Services are currently in beta. Features may change, and some integrations are manual or limited as labeled in the product.
5. Fees, taxes, and payment
Fees are as shown on the pricing page or order form. Payment is processed by Stripe, PayPal, or another processor we designate. You authorize recurring charges for the selected interval (monthly or yearly) until you cancel according to the cancellation path we provide. Prices exclude applicable taxes unless stated otherwise; you are responsible for taxes other than taxes on our net income. Except where required by law or expressly stated, fees are non-refundable.
Lapsed payment is read-only, never a lockout. If a payment fails, a trial ends without a paid plan, or a subscription is canceled, your desk becomes read-only until you renew. You and your users can still sign in, view every record, and export your data. We do not hold Customer Content hostage for payment.
6. Acceptable use
You will not, and will not allow others to:
- Violate law or third-party rights, including privacy and employment laws applicable to Customer Content
- Probe, scan, or attack the Services except with our prior written consent for a coordinated security test
- Circumvent authentication, licensing, heartbeats, or access controls
- Upload malware or content that is unlawful, harassing, or infringing
- Resell, white-label, or provide the Services to third parties as a managed service except under the MSP edition or a separate written agreement
- Reverse engineer the Services except to the extent this restriction is prohibited by law
- Use the Services to send spam or deceptive communications
- Interfere with other customers' use or with the integrity of the platform
7. Customer Content
You retain ownership of Customer Content. You grant Lifecycle a worldwide license to host, process, transmit, and display Customer Content solely to provide and secure the Services, to prevent abuse, and as required by law. You represent that you have all rights and notices needed to process Customer Content in the Services, including employee and candidate data and directory attributes.
For On-Prem deployments, you control the hosting environment and primarily determine how Customer Content is stored. For Cloud, we process Customer Content as a service provider / processor for your organization, except for account, billing, and platform operations data we process as an independent controller as described in the Privacy Policy.
8. Intellectual property
Lifecycle and its licensors own all right, title, and interest in the Services, including software, branding, documentation, and feedback you provide (which you grant us a royalty-free license to use to improve the Services). These Terms do not transfer any Lifecycle IP to you except the limited license above. You will not remove proprietary notices.
9. Third-party services
The Services may interoperate with Microsoft Entra ID and Graph, Active Directory / LDAP, Stripe, PayPal, eBay, shipping carriers, your mail server, and other third parties listed on our Subprocessors page. Your use of those services is subject to their terms. We are not responsible for third-party outages, policy changes, or data handling outside our control.
10. Accessibility
Lifecycle aims to conform to the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA for public marketing pages and core product surfaces over time. Our Accessibility Statement explains how to report barriers and our remediation commitment. Reporting a barrier does not waive any legal rights, and this section does not limit remedies available under applicable accessibility law. We will not retaliate for good-faith accessibility feedback.
11. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A SIGNED ORDER OR REQUIRED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LIFECYCLE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CUSTOMER CONTENT WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR APPROPRIATE BACKUPS, ESPECIALLY FOR ON-PREM DEPLOYMENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFECYCLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO LIFECYCLE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY FEES). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
13. Indemnification
You will defend, indemnify, and hold harmless Lifecycle and its affiliates, officers, and employees from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Customer Content, your use of the Services in violation of these Terms or law, your directory or identity configurations, or your infringement of third-party rights, except to the extent caused by our willful misconduct.
14. Term and termination
These Terms continue while you use the Services. You may stop using the Services and cancel a subscription through the billing path we provide or by contacting billing@lifecycle.lol. We may terminate or suspend for material breach, non-payment, legal risk, or discontinuation of the Services with reasonable notice where practicable. Upon termination, your license to make changes ends, but the desk stays available read-only so you can export your Customer Content (Settings → Backups). We do not delete Cloud Customer Content automatically; an instance administrator can ask us to delete it at privacy@lifecycle.lol, and we may delete it after [90 days] of read-only status with prior email notice unless law requires longer retention. Sections that by their nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) will survive.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Exclusive venue for disputes that are not resolved informally will be the state or federal courts located in Delaware, and you consent to personal jurisdiction there, except that Lifecycle may seek injunctive relief in any jurisdiction to protect its IP or confidential information. Before filing a claim, you agree to attempt to resolve the dispute by contacting legal@lifecycle.lol and allowing thirty (30) days for a good-faith response. If your organization's principal place of business requires a different governing-law clause in a negotiated order form, that order controls for the covered Services.
NOTHING IN THESE TERMS LIMITS NON-WAIVABLE RIGHTS UNDER APPLICABLE CONSUMER OR ACCESSIBILITY LAW WHERE SUCH LAW PROHIBITS A PARTICULAR LIMITATION.
16. General
These Terms are the entire agreement between you and Lifecycle regarding the Services and supersede prior conflicting understandings on the same subject, except a signed enterprise order or data processing agreement that expressly overrides specific clauses. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except to an affiliate or successor in connection with a merger or sale of substantially all assets; we may assign to an affiliate or successor. Notices may be sent to the email associated with your account and to legal@lifecycle.lol. Headings are for convenience only.
